Notice of Special General Meeting of Feilding & District Promotion Inc.

BACKGROUND

The Executive Board of Feilding and District Promotion Inc have resolved to complete reregistration under the new Incorporated Societies Act 2022. The purpose of this meeting adopt the new constitution and pass the necessary resolutions to complete this process.

3.  Business of the meeting:

The business of the Special Meeting is to receive and adopt the new Constitution & supporting resolutions to complete reregistration under the new Incorporated Societies Act 2022.

RESOLUTIONS

Resolution 1 - Adoption of New Constitution

That the Members of Feilding & District Promotion Incorporated:

1. Adopt the proposed new Constitution of the Society (as circulated to Members prior to this meeting) in substitution for and to the exclusion of the current Constitution; and

2. Approve that the new Constitution shall take effect from the date it is registered by the Registrar of Incorporated Societies.

 

Resolution 2 – Re-registration under the Incorporated Societies Act 2022

That Feilding & District Promotion Incorporated, applies to the Registrar of Incorporated Societies to be re-registered under the Incorporated Societies Act 2022, and that the Society confirms it meets the eligibility criteria for re-registration under that Act.

 

Resolution 3 – Authority to Complete Re-registration

That the Executive Board be authorised to:

1. Finalise and submit the application for re-registration of the Society under the Incorporated Societies Act 2022;

2. Make any minor or technical amendments to the Constitution as may be required by the Registrar of Incorporated Societies, provided such amendments do not materially alter the intent of the Constitution approved by Members; and

3. Complete all necessary filings, declarations, and administrative requirements to give effect to these resolutions.
